Definitions Unless otherwise expressly stipulated in this Agreement, the following terms shall have the meanings set forth below:  Platform: Refers to the TopMediai AI Music online service platform. Designated User: Refers to users who subscribe to Creator, Pro Version, Music Package, or Music Creator Pack plans and maintain valid membership status during the subscription period.  Membership Validity Period: The actual effective duration during which a Designated User becomes a platform member through payment, as recorded by the Platform (including renewal periods).  Generated Content: Refers to digital music Works independently created by the Designated User through the Platform’s AI music generation tools,encompassing complete tracks, melody segments, arrangement materials, etc. Should the Designated User engage in lyric creation, such lyrics shall be deemed part of the Generated Content and attributed as the independent creation of the Designated User. User Data: Refers to the homo sapiens information, creative data, and other related data provided by Designated Users during their use of the platform services, including but not limited to user registration information, work creation data, and usage behavior data. The platform commits to protecting the privacy and security of user data in accordance with laws, regulations, and the terms of this agreement. Commercial Use: Refers to usage primarily aimed at obtaining economic benefits, whether directly or indirectly. Specifically, Commercial Use encompasses various methods, including but not limited to sales, licensing, performances, online distribution, adaptations, and derivative creations. Whether through physical sales or digital distribution, the core of Commercial Use lies in legally converting intellectual property or other resources into tangible economic benefits. However, it is important to note that the Designated user has no right to use content that cannot be attributed to him. Copyright Protection Eligibility: Refers to whether a work meets the protection criteria stipulated by the copyright laws of a specific country/region, as determined by the local copyright authority.  Work: Refers to music Works generated by the Designated User during the validity period of their membership and subscription plan, provided such Works meet the conditions specified in this Agreement. II. License Content and Scope (1) Work Ownership and Rights OwnershipFor Works generated by the Designated User during the membership and subscription validity period, the following rights apply from the moment of creation:  If the Designated User participates in lyric creation, they hold independent copyright over the lyrics and may assert corresponding rights based on them.  The Platform Party confirms that it does not claim original copyright over the Works but retains relevant intellectual property rights pertaining to the Platform’s AI technology. two Special Note:  Music Works entirely generated by AI (where the Designated User has not engaged in human creative activities such as lyric composition) may not be eligible for copyright protection under the "human creation" requirement in certain jurisdictions. Providing generation prompts shall not be deemed to constitute a human creative contribution to the work. Usage Rights Scope  The Designated User holds the right to commercially use the Works, provided such use complies with the terms of this Agreement and relevant laws and regulations. The Platform Party commits not to interfere with the Designated User’s lawful Commercial Use, while the Designated User must ensure all usage adheres to this Agreement and applicable laws.
